GOVERNANCE
The Brigadoon Board of Directors consists of up to eighteen (18) Directors, including its Chair. Directors are appointed for a term of three years, with an opportunity for a two year renewal. In exceptional circumstances, a further one year appointment is possible. In appointing Directors, reasonable steps are taken to ensure the continuity of the Board through staggered terms.
To fulfill its governance and oversight responsibilities, the Board is comprised of individuals who, as a collective, have the following skills, competencies and experience.
- Management and leadership skills;
- Knowledge of the constituency to be served by Brigadoon;
- Knowledge of the strategic partners who can advance the objectives of Brigadoon;
- Ability to advocate for support for Brigadoon, including donations, corporate and government funding and sponsorships;
- Communications skills;
- Financial expertise;
- Diplomacy;
- Informed judgment;
- Integrity and accountability;
- Enthusiasm and passion for the objectives of Brigadoon
Board Composition, Structure & SelectionThe Board is elected by the membership of the Society. The Society's only members at this time are the Board. The Board is comprised of at most 18 members and no less than 5 members. The Executive Director is a voting member of the Board. The Governance & Nominating Committee will solicit from among members' suggestions for membership on the Board of Directors. The Governance & Human Resource Committee will use these suggestions and its own best judgment to prepare a slate for presentation for election at the Annual General Meeting. At the Annual General Meeting nominations are also invited from the floor.
